Summary of Rules of Constitution

  • Importantly, the Surin Foundation’s income and property must be applied solely towards the promotion of the Foundation’s objectives. No portion can be paid to the profit of the members. In the event of the Foundation ceases to exist, the property of the Foundation must be transferred to an organisation with similar objectives and which also prohibit the distribution of income and property to its members.

  • Only persons who believe in the Foundation’s objectives and are unanimously approved for membership by the Committee of the Foundation (‘the Committee’) are eligible to be members of the Foundation.

  • Members are entitled to vote at the Foundation’s Annual General Meeting (AGM) and Special General Meetings only on questions or resolutions posed by the Committee. An AGM must be held annually. For a resolution to be carried all Members must vote in person in favour the resolution.

  • The Committee may resolve to suspend or expel Members subject to the Member having an opportunity to be heard and any such resolution being unanimously confirmed by all Committee members less one. Disputes between members or between members and the Foundation are to be resolved by mediation.

  • The affairs of the Foundation are to be managed by the Committee. The Committee shall consist of President, a Vice President, the Treasurer and the Secretary and any other ordinary member as determined by the Committee in its absolute discretion. Committee Members must be unanimously nominated and elected by all existing members of the Committee at the AGM. The validity of the Committee’s resolutions are not affected a vacancy in the office of the Committee.

  • Members are not eligible to be nominated or elected to the Committee unless within the past 3 years of the next AGM the member has visited or otherwise actively participated in the overseas mission work of the Foundation.

  • The Committee must meet at least 3 times in each year but may meet more often as determined by the Committee Members. Whilst 75% of Committee Members constitutes a quorum, all decisions of the Committee must be unanimous. Minutes of the Committee’s meetings must be kept by the Secretary.

  • The Foundation in a general meeting may, by a unanimous resolution less 1, remove any member of the committee before the expiration of the member's term.

  • The Foundation may incorporate under the Association Incorporation Act 1981 (Vic) upon unanimous agreement of all the Members.

  • The Foundation must keep proper accounts and two members of the Committee must sign /authorise cheques on behalf of the Foundation.
